Our Real Estate Practice group handles both commercial and residential real estate matters for a broad array of clients. Representative transactions include:

Commercial Real Estate

  1. Acquisitions and dispositions
    Counseled clients with respect to purchases and sales of commercial real estate and investment properties, including sale/leaseback arrangements; reviewed, negotiated and drafted transfer agreements and closing documents and supervised all aspects of the closings.
  2. Bankruptcy Proceedings
    Represented landlords and tenants in lease confirmation/disaffirmance proceedings in bankruptcy court.
  3. Construction financing and workouts
    Reviewed and negotiated construction financing agreements with institutional lenders and assisted clients with lender requirements; counseled clients with respect to and negotiated workout agreements for distressed properties.
  4. Cooperative and condominium conversions and management
    Prepared documentation, including regulatory filings, in connection with conversion of rental properties to cooperative and condominium ownership; counseled clients with respect to issues of management of the cooperatives and condominiums and relations with owners of units.
  5. Design and construction contracts
    Reviewed, negotiated and drafted agreements with designers, architects and contractors, representing both owners and contractors.
  6. Leasing transactions
    Counseled property owners, negotiated and prepared leases for office space, retail and industrial uses; counseled tenants with respect to prospective leases, renewals and lease surrenders, and negotiated leasing documents.
  7. Like-kind exchanges (investment property only)
    Represented purchasers and sellers engaged in like-kind exchanges under Internal Revenue Code Section 1031.
  8. Mortgages and secured borrowing
    Counseled borrowers with respect to mortgage and security instruments; negotiated the terms of security instruments with lenders; represented lenders with respect to secured lending and prepared mortgages and security documents.

Residential Real Estate

  1. Acquisitions and dispositions of homes, co-ops and condos
    Counseled clients with respect to purchases and sales of single and multi-family homes, coops and condos; reviewed, negotiated and drafted transfer agreements and closing documents and supervised all aspects of the closings.
  2. Leases
    Reviewed, negotiated and drafted residential leases and subleases, representing owners and tenants.
  3. Home construction contracts
    Represented homeowners with respect to engagement of contractors for home construction and improvements; reviewed, negotiated and drafted agreements with contractors, architects and designers.
  4. Mortgage loans and refinancing
    Represented purchasers and homeowners with respect to mortgage loans and refinancing of existing loans.
