From structuring the initial venture to reorganizations, we counsel clients from start-up through expansion and growth, advising on the host of legal and business issues that arise daily in the life of a company.

We work with both in-house corporate law departments and clients that do not have staff attorneys. Our practice is both domestic and international, and includes representation of public companies, privately held entities, family-owned businesses, and entrepreneurs. Depending on a client's needs, we act as general counsel or provide special counseling on particular issues--from the routine to the highly sophisticated.  Our other practice areas, including litigation, intellectual property, advertising, media, information technology, and taxation, add a unique dimension to our ability to address our clients' needs and goals.

Our attorneys combine knowledge of the law with an understanding of business exigencies. We recognize that some matters call for 'tried and true' treatment, while others require dynamic approaches. Regardless of the situation, our role is to provide efficient and effective solutions.

A closely held business inevitably will come to a crossroads, either due to the aging or illness of the founders who must find suitable successors or perhaps a fortuitous offer to purchase the business presents itself. Over the years, we have assisted many businesses with the process of preparing for sale, negotiating the transaction and closing the deal. Larger companies may desire to sell their businesses, or a division, or merge with another entity; we often advise companies in these situations as well.

In still other situations, companies may look for strategic acquisitions, to add a needed product/service line or location or add to existing capacity; and we often advise the acquiring companies in these transactions. The firm's capabilities in tax and finance have enabled us to handle and advise on all aspects of these acquisitions.
